Application for Establishment Registration of Foreign-invested Enterprises

Artricles of Association

Signed by all the shareholders. The shareholders as natural person sign in person; domestic corporate shareholders affix corporate seals; and foreign corporate shareholders entrust legal representative or authorized agent to affix signatures.

Approval by the examination authority and the Duplicate 1 of the Certificate of Approval for Establishment of Enterprises with Foreign Investment in the People’s Republic of China

Issued by relevant business department and only limited to the enterprises involved in special administrative measures of access of foreign investment.

Notice of Advance Approval of Name of Enterprise

Where the pre-registration is applied on the website of Beijing Administration for Industry and Commerce, the papery Notice of Advance Approval of Name of Enterprise will not be required.

Legal qualifications of all the investors

Foreign investors shall submit the subject qualification certificate or identity certificate notarized by the regulatory authority of the home country thereof and then legalized by the Chinese embassy (consulate) in the said country. Subject qualification certificate or identity certificate of Hong Kong, Macao and Taiwan investors shall be submitted together with notary documents provided by local notary authority (the certificate of Hong Kong shall be forwarded by China Legal Service (HK) Ltd. after being affixed with special seal for forwarding; the permit for Taiwan resident to enter and exit Chinese Mainland issued by the public security department of Chinese Mainland may be used as the identity certificate of natural person investors without notarization). For any foreign investor whose country has not established or has terminated diplomatic relation with China, his/her subject certificate or identity certificate shall be firstly notarized by the regulatory authority of the home country thereof and then the embassy (consulate) of a third country (which has diplomatic relations with China) in the said country, of which the aforesaid notarial and certification documents shall also be notarized by the embassy (consulate) of China in the said third country. For Chinese investors, the shareholders as natural person shall submit the copy of identity certificate and the corporate shareholders shall submit the copy of business license affixed with corporate seal. (The other types of shareholder’s qualifications shall be submitted as per the notes under “How to submit shareholder’s qualification in application for enterprise registration” in the General Guidelines and Risks on License Application for Investment.)

Domicile Use Certificate

Copy of property certificate signed or sealed by the property owner. The property owner shall sign in person if it is a natural person on affix corporate seal if it is an entity.

Project approval document

Only applicable to the projects related to pre-registration, such as the operation of dangerous chemicals and express delivery.

Power of Attorney for Service of Legal Documents

It shall be signed by the foreign shareholder(s) and domestic authorized person(s). The subject qualification certificate or natural person identity certificate of the authorized person shall also be submitted.  

Tips:
1. The materials under Items 1, 6, 7 and 10 shall be submitted in the format as required by the registration authority, which is available at the nearest industrial and commercial administration or on the website of Beijing Administration for Industry and Commerce.
2. All the materials to be submitted shall be printed on A4 papers.
3. For documents with copies not definitely required, the originals shall be submitted. The copies shall specify the consistence with the originals and shall be signed by the applicant.
4. To apply for the establishment of a foreign-invested joint-stock company, relevant application materials shall be submitted.
 
5. The purpose of the property under the property certificate shall be constant with that for actual operations. In what circumstances can a business license be applied for the premise without a ownership certificate? Please refer to the contents under "Focuses in selection of the domicile (business site)" in General Guidelines and Risks on License Application for Investment to avoid risks.
 
6. If the establishment and change of a foreign-invested enterprise is not involved in the implementation of special administrative measures of access as per state regulations, the filing formalities shall be completed with relevant business department according to Interim Measures for the Filing Administration of the Establishment and Change of Foreign-Invested Enterprises.
